Terms and Conditions
Company Name: Scion Performance Nutrition Registered Address: 70 Miersfield, High Wycombe, Buckinghamshire, HP11 1TY Contact Email: team@usescion.com
1. Explicit Agreement and Legal Binding
1.1 Applicability: This document constitutes a legally binding contract ("Agreement") between Scion Performance Nutrition (hereafter referred to as the "Company", "We", "Us", or "Our"), and the purchaser, user, or entity (hereafter referred to as the "Purchaser", "Client", or "You") accessing our website, commissioning services, or purchasing goods.
1.2 Irrevocable Acceptance & Post-Payment Immutability: By initiating a transaction, remitting payment, or approving a final design proof, the Purchaser irrevocably accepts all terms, conditions, disclaimers, and liability waivers stipulated herein. The remittance of payment constitutes the Purchaser’s final, legally binding approval of all designs, artwork, and logos. Once payment has been processed, absolutely no changes, modifications, or corrections can be made to the order. If you do not agree to these Terms in their entirety, you must immediately cease use of our services.
2. Scion Performance Nutrition (Dietary Supplements)
2.1 Disclaimer of Warranties and Medical Liability: All nutritional supplements and performance products are provided "as is" without any express or implied warranty of efficacy for a specific physiological outcome. The Company expressly disclaims any liability for adverse physical reactions, allergen exposure, or contraindications with pre-existing medical conditions or pharmaceuticals.
2.2 Purchaser Responsibility: The information provided by the Company does not constitute medical advice. The Purchaser assumes all risk associated with the consumption of these products and is strictly liable for consulting a licensed medical professional prior to use.
2.3 Returns Policy (Supplements): Under the Consumer Contracts Regulations 2013, the Purchaser maintains a 30-day right of return, strictly contingent upon the product remaining sealed, entirely unopened, and in pristine, original packaging.
3. Scion Custom Teamwear, Committee Garments & Game-Day Apparel
The following provisions govern all commissions for Custom Team Performance Wear, Team Site apparel, Committee Garments, and specifically Game-Day Jerseys.
3.1 Exemption from Statutory Cancellation Rights (Bespoke Goods): In strict accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Purchaser acknowledges that all custom garments are made-to-order ("bespoke") based on exact, individualised specifications. Consequently, the statutory right to cancel or return goods for a discretionary refund is entirely waived. All sales are final.
3.2 Client’s Absolute Liability for Sourcing, Assets, and Data Accuracy: The Company operates strictly as a bespoke manufacturer and executes production based exclusively on the digital artwork, designs, and assets provided or approved by the Purchaser. The Purchaser (expressly including individual university students, team captains, club representatives, or committee members acting on behalf of a university club, society, or sports team) assumes total, independent responsibility for sourcing, verifying, approving, and supplying all required artwork and roster data to the Company.
-
Absolute Liability for Logo Verification: The Company is entirely exempt from any responsibility to verify the accuracy, version, ownership, or current validity of any club, team, or university logo applied to the garments. It is the sole responsibility of the individual Purchaser to make the decision on which logo is used and to ensure it is the correct visual asset prior to purchase.
-
Zero Liability Post-Payment: Because payment acts as final design approval, the Company accepts zero financial or remanufacturing liability for garments produced with incorrect, outdated, or wrong logos once the payment has been finalized by the Purchaser.
-
Waiver of Aesthetic Liability: The Company disclaims all liability for aesthetic degradation resulting from low-resolution files, incorrect color profiles (e.g., RGB vs. CMYK discrepancies), or unapproved typography provided by the Client.
-
Typographical & Sizing Errors: The Purchaser assumes total financial liability for any misspellings, incorrect squad numbering, wrong logo submissions, or erroneous sizing submitted. Any requested remanufacture due to Client-side data errors or incorrect logo approvals shall be executed at full retail cost.
3.3 Absolute Indemnification for Intellectual Property (IP) and University Assets: By submitting any logos, university crests, student union emblems, society graphics, or brand assets to the Company, the Purchaser explicitly warrants that they possess formal, documented legal authorisation from the respective University, Student Union, institutional copyright holder, or trademark owner to reproduce such intellectual property. The Purchaser agrees to fully indemnify, defend, and hold harmless the Company, its directors, and affiliates from and against any and all claims, lawsuits, damages, academic disciplinary actions, or legal fees (including statutory and tort claims) arising from the unauthorised reproduction of university trademarks, institutional logos, or third-party intellectual property supplied by the Purchaser.
3.4 Regulatory Exculpation and Governing Body Compliance: The Company acts solely as a manufacturer and assumes no advisory role regarding league or association regulations. The Purchaser bears sole liability for ensuring all garment designs, sponsor dimensions, and color schemes comply with the regulatory frameworks of their respective governing bodies (e.g., FA, BUCS, university athletic unions). The Company is completely exculpated from any liability, fines, or point deductions levied against the Client due to non-compliant apparel.
4. Game-Day Jerseys: Specific Disclaimers of Liability
Due to the critical time constraints and extreme physical environments associated with competitive sports fixtures, the following explicit disclaimers apply specifically to Game-Day Jerseys and associated match-day apparel:
4.1 Total Exemption from Liability for Transit and Production Delays: The Company provides an estimated 3-4 week production window in good faith; however, time is strictly not of the essence in this Agreement. The Company expressly disclaims all liability for any direct, indirect, or consequential losses arising from delayed delivery of Game-Day Jerseys. This includes, but is not limited to:
-
Forfeiture of league fixtures, university matches, or tournaments.
-
Financial penalties or fines imposed by governing bodies due to lack of standard-issue kits.
-
Loss of sponsor revenue or reputational damage.
The Purchaser explicitly waives the right to request chargebacks, refunds, or contract termination on the basis of delivery delays, whether caused by manufacturing backlogs, customs clearance, or third-party courier failures.
4.2 Express Assumption of Risk and Waiver of Liability for Athletic Damages: Game-Day Jerseys are inherently subjected to high-impact physical duress, environmental stress, and rigorous laundering. Upon confirmed delivery to the Purchaser, the Company transfers all risk of loss and damage.
-
Exclusion of Implied Warranties: The Company explicitly disclaims the implied warranties of merchantability and fitness for a particular purpose once the garment is deployed in training or competitive play.
-
Sporting Wear and Tear: The Company holds absolute immunity against claims of damage resulting from contact sports (including tearing, fabric ripping, friction burns, grass stains, and abrasion) or improper laundering (including graphic delamination due to high-heat washing or tumble drying).
5. General Limitation of Liability
To the maximum extent permitted by the laws of England and Wales, Scion Performance Nutrition's total, cumulative liability to the Purchaser for any claim arising out of or relating to this Agreement, whether in contract, tort (including negligence), strict liability, or otherwise, shall be strictly capped at the total financial consideration actually paid by the Purchaser to the Company for the specific goods or services giving rise to the claim. Under no circumstances shall the Company be liable for any special, incidental, punitive, or consequential damages.
6. Standard Boilerplate Provisions
6.1 Force Majeure: The Company shall not be deemed in breach of this Agreement if the fulfillment of any obligation is delayed or prevented by events beyond its reasonable control, including but not limited to acts of God, strikes, pandemics, supply chain collapse, or governmental embargoes.
6.2 Severability: If any provision of these Terms is deemed invalid, void, or unenforceable by a court of competent jurisdiction, that specific provision shall be severed, and the legal validity and enforceability of the remaining provisions shall remain in full force and effect.
6.3 Entire Agreement: These Terms, in conjunction with the official Returns Policy, constitute the entire agreement between the Purchaser and the Company, superseding any prior verbal or written communications, representations, or marketing materials.
6.4 Governing Law and Jurisdiction: This Agreement shall be governed by, and construed strictly in accordance with, the laws of England and Wales. The Parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising under this Agreement.
